Terms and conditions

The rules for using this site and the conditions we work under. Written to be read, not skipped.

Last updated: August 22, 2026

This document governs the use of the stuweb.club site and the general conditions of the services presented on it. By using the site you accept what follows; if you don't accept it, please don't use it.

Before anything else, a clarification worth reading right away: the party who commits to carrying out and delivering the work isn't the Association, but the individual designated as project lead. Points 1 and 2 explain what that means, and point 6 explains how it affects price and taxes.

1. Who we are

The site stuweb.club is run by Stuweb.club, an unincorporated association (associazione non riconosciuta, a type of Italian nonprofit entity) under articles 36 and following of the Italian Civil Code, based in Padova, Italy. Referred to below as “the Association”.

For anything relating to these terms you can use this site's : requests come straight to us and that's where we reply from. We don't publish an email address because the form is the only channel we actually monitor.

The Association brings together university students. It doesn't carry out business activity, doesn't hold a VAT registration, and doesn't itself provide the services presented on this site: for each project it designates one of its members as project lead — the individual who takes on the assignment, carries it out, and delivers it to the client. What this means contractually is explained in point 2, and it's the single most important piece of information in this whole document.

2. Who your contracting party is

The contract to supply the service is concluded not with the Association, but with the project lead, personally and as an individual. It's the project lead who takes on the obligation to carry out and deliver the work, who issues the accounting document, and who answers to the client for performance. The Association isn't a party to that contract, doesn't take on any delivery obligation, and doesn't provide any guarantee, surety, or other form of liability for the project lead's performance.

For that reason the contracting party's identifying details — full name, residence or tax domicile, tax code, VAT number if any, email address and phone number — can't appear in this document: they change from project to project. They're stated in the quote and, in every case, communicated in writing to the client when work begins; the client can request them at any time and is entitled to receive them before making any payment.

Article 38 of the Italian Civil Code continues to apply: for obligations undertaken in the name and on behalf of the Association, the people who acted are personally and jointly liable. This provision concerns the Association's own obligations and doesn't make it a party to the supply contract described in this point.

3. What these terms cover, and what they don't

These terms govern use of the site and set the general conditions of the services. They don't replace the contract: the relationship with a client arises from the accepted quote, which describes the scope, price, and timing of the individual project. If the quote and these terms conflict, the quote prevails.

4. Information on the site

The site's content is for informational purposes. The prices shown don't constitute a public offer under article 1336 of the Italian Civil Code and aren't binding until confirmed in a quote. The reference agency prices shown for comparison are indicative market estimates, gathered for comparison purposes, and can't be attributed to any specific provider.

We work to keep the information current and accurate, but we don't guarantee it's free of errors or typos. We may change the services, list prices, and site content at any time; changes don't affect quotes already accepted.

5. Quote, price, and payment

  • The consultation and the quote are free and don't commit either party.
  • The price stated in the quote stays that price until delivery. The only case where it changes is if, once work is under way, the client asks for features not covered by the quote: in that case we tell you the cost before building them, and without written acceptance we don't proceed.
  • Payment: a 50% deposit when work starts, the remaining 50% on delivery.
  • All amounts shown are net of tax and refer only to the project lead's fee. The applicable tax treatment, and why no VAT rate is shown, are described in point 6.
  • In case of late payment, the interest set out in Legislative Decree 231/2002 applies to relationships between businesses; statutory interest applies with consumers.

6. Tax treatment of the service

The service is supplied by the project lead as occasional self-employed work (lavoro autonomo occasionale) under article 2222 of the Italian Civil Code: activity carried out without subordination, without coordination, and lacking the habitual-activity requirement.

  • VAT. Because it lacks the habitual-activity requirement of article 5 of Presidential Decree 633/1972 (the Italian VAT decree), the transaction falls outside the scope of VAT: no value-added tax is charged to the client, whether in Italy or abroad. A receipt for occasional services is issued against the fee, subject to a €2.00 stamp duty for amounts over €77.47 (Presidential Decree 642/1972).
  • Withholding tax. If the client qualifies as an Italian withholding agent under article 23 of Presidential Decree 600/1973 — typically a business or professional established in Italy — a 20% withholding tax applies to the fee under article 25 of the same decree. The client withholds it at the time of payment and pays it to the Italian tax authority on the project lead's behalf: the total cost to the client doesn't change.
  • Annual threshold of €5,000. As long as the fees the project lead receives for occasional self-employed work don't exceed €5,000 in the calendar year, across all clients combined, no obligation arises to register with Italy's Gestione separata INPS (the social-security scheme for occasional workers) or to pay social-security contributions (art. 44(2) of Decree-Law 269/2003, converted with amendments by Law 326/2003). Once the threshold is exceeded, contributions are due on the amount above it, split between client and project lead as the law requires. The threshold concerns the project lead's social-security position and isn't a value cap on any single project.
  • Foreign clients. Where the service is supplied by a project lead who holds a VAT number, the tax's territoriality follows the place of establishment of the client acting as a taxable person (art. 7-ter of Presidential Decree 633/1972): the transaction isn't subject to Italian VAT, and the tax is accounted for by the client in their own country through reverse charge. No Italian VAT rate is therefore applied to clients established abroad.
  • The tax treatment that actually applies to a given project, and the related documentation requirements, are stated in the quote and communicated to the client when work begins, together with the details referred to in point 2.

7. Delivery times

For a website the average time is around two weeks from the consultation. For the other services, timing depends on the features requested and is stated in the quote. Timelines run from when the client has given us all the necessary materials — copy, images, access credentials, content — and pause for any period we're waiting on material or approval.

8. What's included after delivery

  • Fifteen days of free changes and corrections from delivery, to fix whatever the client, using the finished work, discovers they'd like to change. This covers corrections and adjustments to what was built; it doesn't cover new features, which follow the rule in point 5.
  • The first year of web hosting is on us. From the second year a yearly fee applies, roughly €10-50, which depends on the provider and not on us. If the client chooses not to renew it, the site stops being reachable: that's a technical consequence, not a penalty.

9. Client obligations regarding content

The content published in the delivered work is supplied or specified by the client, who is its sole substantive author. The client is solely responsible for the truthfulness, lawfulness, and accuracy of every piece of content they provide or ask to have published — text, data, images, prices, statements about themselves, their products, and their services.

In particular, the client guarantees that the content supplied:

  • isn't false, misleading, or deceptive, and doesn't amount to unfair commercial practices under articles 20 and following of the Italian Consumer Code;
  • doesn't contain defamatory or discriminatory material, or material inciting hatred or violence, and isn't otherwise contrary to mandatory law, public order, or public morals;
  • doesn't infringe copyright, trademarks, patents, or other third-party intellectual or industrial property rights, nor rights to image, privacy, or personal data protection: the client states they hold the rights or a valid licence to it and are entitled to have it published.

Neither the Association nor the project lead is responsible, in any capacity, for content supplied by the client: they merely insert it technically into the work as the client instructs, with no obligation to check in advance its truthfulness or who holds the rights to it. The client agrees to indemnify and hold harmless the Association, its members, and the project lead from any claim, action, penalty, cost, or expense — including legal costs — arising from content they supplied or its publication.

The project lead may refuse to publish, or may remove, content they consider manifestly unlawful, without this amounting to a breach and without prejudice to the right to payment for work already carried out.

10. Intellectual property

Once payment is complete, the client acquires the right to use, fully and without time limit, the work built for them: pages, graphics, and content produced specifically for the project. The domain, content supplied by the client, and project materials are and remain theirs.

We retain, and don't transfer, the following: the Stuweb.club name and logo, the content of this site, our reusable code components, and the working methods we've developed — over which the client receives a non-exclusive licence tied to the delivered project. Third-party software and libraries remain subject to their own licences.

Unless otherwise agreed in writing, we may reference the work completed and show images of it among our references. If the client would rather we didn't, all it takes is telling us — a written request is enough.

11. Warranties and limits of liability

We commit to performing the services with the professional diligence required. We don't guarantee commercial results: search-engine rankings, traffic volumes, sales, or financial returns depend on factors outside our control — competitors, search-engine algorithms, the market. Search optimisation (SEO) and inclusion in AI systems are obligations of means, not of result.

We're not responsible for disruptions caused by third-party providers (hosting, domain registrars, integrated external services), network outages, or force majeure, nor for the consequences of changes made to the delivered work by the client or third parties after delivery.

The Association isn't responsible for carrying out or delivering the work, which are obligations of the project lead alone under point 2. Any claim relating to performance, defects, or delay should be directed to the project lead named in the quote.

In dealings with clients acting in the course of a business or professional activity, the project lead's overall liability for each project is capped at the amount the client paid for that project, and compensation for loss of profit and indirect damages is excluded. No clause in this document limits liability in cases where the law forbids it — wilful misconduct, gross negligence, personal injury — nor restricts the rights the Consumer Code grants to consumers.

12. If you're a consumer

If you're buying a service for purposes unrelated to your business or professional activity, you're a “consumer” under Legislative Decree 206/2005 (the Italian Consumer Code) and you additionally have these rights:

  • The right to withdraw within fourteen days of the contract being concluded (art. 52), with no need to give a reason, by notifying the address in point 1.
  • If you expressly ask that performance start before the fourteen days have passed, you're required to pay us for the portion of work already carried out at the time of withdrawal (art. 57(3)); and once the service has been fully performed with your express agreement, the right of withdrawal no longer applies (art. 59(1)(a)).
  • You can turn to the mediation bodies provided for by the Consumer Code and to the European Union's online dispute resolution (ODR) platform made available by the European Commission.

13. The “Refer a client” programme

  • For every person you refer who buys one of our services, you get €100 off the cost of yours.
  • Discounts add up and can bring the price to zero. They never carry a right to cash, refunds, or credit transferable to third parties.
  • The bonus is valid from the quote and up to fifteen days after delivery of your project. Referrals claimed after that deadline don't qualify for the discount.
  • The discount is earned once the referred client has actually made a purchase. We reserve the right not to honour it in case of fake referrals or clear abuse of the programme.
  • We may change or end the programme at any time; a change doesn't affect discounts already earned.

14. Applications to join the Club

The form on the “Join the Club” page collects unsolicited applications. Submitting an application doesn't constitute a job offer, doesn't create any obligation to hire or collaborate, and doesn't entitle you to any kind of payment. Selection is at our discretion and its outcome can't be challenged.

Applicants guarantee that what they state is truthful. False statements about qualifications, grades, or work carried out result in exclusion from the selection process at any time. How data included in an application is handled is described in the Privacy Policy.

15. Use of the site

The site must be used in good faith. It's not permitted to attempt unauthorised access, to overload it, to extract its content in an automated way for reproduction elsewhere, or to use its trademark in a way that creates confusion about its origin.

16. Changes to these terms

We may update this document. The version that applies to a given relationship is the one in force on the date the quote was accepted, and the date of the last update is shown at the top of this page.

17. Governing law and disputes

These terms are governed by Italian law. For disputes with clients acting as professionals or businesses, the Court of Padova has exclusive jurisdiction. For disputes with consumers, jurisdiction remains with the court of the consumer's place of residence or elected domicile, as provided by article 66-bis of the Consumer Code, and this jurisdiction can't be excluded by agreement.

These terms are also published in Italian at stuweb.club/ita/termini. The Italian version is the one with full legal effect; this English translation is provided for convenience, and if the two differ, the Italian text prevails.
